Terms of Service

Introduction
These Terms of Service govern your access to and use of the Ordo website, APIs, RPC infrastructure, SDKs, applications, smart contracts, auction systems, and related services operated by OrdoFi Labs (“Ordo”, “we”, “us”, or “our”).
By accessing or using Ordo, you agree to these Terms. If you do not agree, do not use the services.
Eligibility
You must be at least 18 years old and legally capable of entering into these Terms to use Ordo.
You are responsible for ensuring that your use of Ordo complies with all laws, regulations, contractual obligations, and policies applicable to you.
Your Access
Certain Ordo services may require API keys, wallet signatures, bonded collateral, authentication credentials, or other access mechanisms.
You are responsible for securing your credentials, wallets, private keys, API keys, and systems. You are responsible for activity performed through credentials or wallets under your control.
If you believe your access credentials have been compromised, contact us immediately at security@[your-domain].
We may restrict, suspend, or terminate access where necessary to protect the protocol, infrastructure, users, or third parties, or where these Terms have been violated.
Permitted Use
You may use Ordo to submit and simulate transactions, access private execution infrastructure, submit transaction bundles, participate in order flow and backrun auctions, integrate applications with Ordo, interact with settlement contracts, and connect searcher infrastructure.
You may not use Ordo to intentionally disrupt, attack, overload, exploit, manipulate, or compromise the service, other users, blockchain networks, smart contracts, or connected infrastructure.
You may not attempt to circumvent access controls, rate limits, bond requirements, auction rules, or other security mechanisms.
Transaction Execution
Ordo provides infrastructure for transaction submission and execution on blockchain networks.
Blockchain transactions are inherently irreversible once confirmed. Ordo does not control the underlying blockchain, sequencer, validators, block production, network congestion, transaction ordering, gas prices, reorgs, or final settlement.
Transaction simulation and revert protection are designed to reduce execution failures, but they do not guarantee that a transaction will execute successfully or produce a particular result.
Users remain solely responsible for reviewing and authorizing transactions before signing or submitting them.
MEV and Order Flow Auctions
Ordo provides infrastructure for competitive MEV and backrun auctions.
Applications may submit order flow to Ordo, and eligible searchers may receive redacted execution information and submit bids for post-transaction execution opportunities.
Participation in an auction does not guarantee that a bid will win, that an execution opportunity will remain profitable, or that a transaction will execute in the expected order.
Searchers are responsible for their own strategies, pricing, transaction construction, risk management, and execution decisions.
Searcher Participation and Bonds
Searchers may be required to deposit collateral before participating in certain auctions.
Bids may be rejected if the searcher does not maintain sufficient collateral or fails to meet applicable auction requirements.
Where settlement is performed by smart contract, bonded funds may be debited according to the signed bid parameters, clearing price, and settlement rules applicable to that auction.
You are responsible for understanding these rules before participating.
Onchain Settlement
Certain Ordo services use smart contracts to enforce settlement, collateral accounting, rebate distribution, and related functions.
Smart contracts may contain bugs, vulnerabilities, unexpected behavior, or dependencies outside Ordo’s control. Blockchain transactions executed through these contracts may be irreversible.
You should independently evaluate smart contract risk before depositing funds or interacting with any Ordo contract.
Fees and Revenue Distribution
Ordo may charge protocol fees, infrastructure fees, API fees, auction fees, or other charges depending on the service used.
Auction proceeds or other execution value may be distributed between users, originating applications, searchers, and Ordo according to the rules presented for the relevant service or integration.
Fee structures and distribution parameters may change over time. Material changes will be communicated through the relevant documentation or interface.
Your Data and Transaction Information
You retain ownership of information and content you provide to Ordo.
You grant us permission to process transaction data, auction data, API requests, signatures, wallet addresses, and related technical information solely as necessary to operate, secure, maintain, analyze, and improve the Ordo services.
Public blockchain information is not controlled by Ordo and may remain permanently available once published onchain.
Third-Party Services
Ordo relies on and interacts with third-party infrastructure, including blockchain networks, RPC providers, hosting providers, wallets, decentralized exchanges, smart contracts, and other services.
We do not control and are not responsible for the availability, accuracy, security, performance, or behavior of third-party systems.
Your use of third-party services may also be subject to their own terms and policies.
No Investment or Trading Advice
Ordo provides execution and MEV infrastructure. Nothing made available through Ordo constitutes investment, financial, legal, tax, or trading advice.
Ordo does not recommend any token, transaction, trading strategy, searcher strategy, or blockchain activity.
You are solely responsible for decisions made using Ordo.
Risks
Use of blockchain and MEV infrastructure involves significant technical and financial risk, including loss of funds, transaction failures, unexpected execution, smart contract vulnerabilities, network outages, latency, adverse market movements, and changes to blockchain or sequencer behavior.
You acknowledge and accept these risks when using Ordo.
Availability
We aim to provide reliable infrastructure but do not guarantee uninterrupted or error-free access.
Services may be unavailable due to maintenance, failures, network conditions, third-party outages, blockchain disruptions, security incidents, or other circumstances beyond our control.
Changes to These Terms
We may update these Terms from time to time as Ordo and its services evolve.
Material updates will be posted on this page with an updated effective date. Your continued use of Ordo after updated Terms become effective constitutes acceptance of those changes.
